1Parties and Licensing

This disclosure is issued by HLC Construction LLC d/b/a Install & Design, Florida Certified General Contractor CGC052877 ("Install & Design," "Company," "we"). It forms part of every estimate, proposal, and Service Agreement Install & Design issues to the customer ("Customer," "you").

Install & Design provides services in three ways. Each project states in writing which one applies:

  1. Contracted work — work you contract with Install & Design (Section A of your proposal)
  2. Direct licensed trades — specific scopes you contract directly with a licensed trade professional (Section B)
  3. Pro Partner Referral Program — services you contract entirely with an independent Pro Partner (Schedule 1)

It explains when we use independent professionals, how they are licensed and insured, how pricing and payments are separated, and who is responsible for what. Where this disclosure and a signed Service Agreement conflict, the signed Service Agreement controls.

2Use of Subcontractors and Trade Professionals

Install & Design may, in its sole discretion, engage, assign, coordinate, or replace qualified subcontractors, licensed trade professionals, installers, and suppliers ("Subcontractors") to perform all or part of the work in your Service Agreement.

Subcontractors are independent businesses, not employees of Install & Design. They maintain their own licenses, insurance, personnel, and tools.

Install & Design's role depends on how the work is arranged. For Section A work contracted with Install & Design, Install & Design is responsible as stated in the Service Agreement. For Section B direct trades and Pro Partner referrals, Install & Design acts as a referral and coordination service only. We may help with communication and scheduling and may make optional Quality Review Visits (Section 8), but we do not perform, supervise, or control the provider's work, methods, workers, or subcontractors.

3Licensing and Insurance Responsibility

Each Subcontractor, trade professional, and Pro Partner is an independent business solely responsible for obtaining and maintaining the licenses, permits, registrations, and insurance required by law for the work it performs. This includes work performed by its own employees, subcontractors, or any party it hires.

Install & Design may request proof of license or insurance from providers it works with, but does not verify, monitor, or guarantee the license status or insurance coverage of any independent provider or any party that provider hires. A license or insurance policy may lapse, be suspended, or be revoked without notice to Install & Design.

Before contracting with or paying any provider directly, Customer should verify the provider's license at myfloridalicense.com and request a current Certificate of Insurance.

Insurance coverage for any claim is governed by the applicable policies, contracts, and Florida law.

4Pricing Structure: Section A and Section B

Every estimate or proposal shows who bills each line item.

SectionWhat it coversBilled byPaid to
A — Install & DesignDesign, project management, and work performed by Install & Design or its SubcontractorsInstall & DesignInstall & Design
B — Direct-Pay TradeSpecific scopes the Customer contracts or pays directly, as listed in the proposalThe named trade professionalThe named trade professional

Section B appears only when a direct arrangement under Section 5 or 6 applies. If a proposal has no Section B, all work is contracted with and paid to Install & Design.

5Direct Payments to Subcontractors

On work contracted with Install & Design, we may authorize you in writing to pay a Subcontractor directly. Each direct payment arrangement will:

  1. Be documented in writing before payment, naming the recipient, the scope, the amount, and Install & Design as the party contractually responsible for that work
  2. Be credited in full against your Install & Design contract price
  3. Require the recipient to deliver a signed lien waiver to you for the amount paid

Before final payment, Install & Design will provide the contractor's final affidavit required by Florida's Construction Lien Law.

Do not pay any Subcontractor directly without a written authorization from Install & Design. A direct payment does not, by itself, release Install & Design from its obligations under your Service Agreement or Florida law.

6Licensed Trade Scopes Contracted Directly

For certain specialized scopes, such as licensed electrical, plumbing, mechanical, roofing, or structural work, you may contract directly with an independent licensed trade professional. This happens only when all of the following apply:

  • You sign a separate written contract with that trade professional
  • The trade professional holds its own Florida license for the scope and pulls its own permit
  • The scope is listed in Section B of your proposal, with the professional's name and license number

For these scopes, the trade professional is your contractor and is responsible for its workmanship, permit, inspections, and warranty. Install & Design may coordinate scheduling with that professional, but does not perform, supervise, or warrant that work unless your Service Agreement expressly says so.

7Pro Partner Referral Program

Install & Design reserves the right to operate a Pro Partner Referral Program and to refer any request, in whole or in part, to an independent Pro Partner instead of performing it under an Install & Design contract. Install & Design may add, remove, or replace Pro Partners, and may modify, suspend, or end the program at any time.

For referred services:

  • You contract directly with the Pro Partner, on the Pro Partner's own proposal and contract, showing its name and license number
  • The Pro Partner sets the final price. Any price, range, or estimate shown on Install & Design's website, Prices page, or quote tools is a non-binding estimate, not an offer by Install & Design
  • You pay the Pro Partner directly. Install & Design does not accept payment for referred work
  • Install & Design may receive a referral or program fee from the Pro Partner, disclosed on Schedule 1
  • A Pro Partner may identify itself as an "Install & Design Pro Partner." That designation does not make it an employee, agent, or representative of Install & Design

Each referral is confirmed in a signed Schedule 1 at or before the time of referral.

8Quality Review Visits

For your peace of mind, Install & Design may, at its option, visit a referred project to observe progress and quality ("Quality Review Visits"). These visits are limited as follows:

  • Visits are observational only. Install & Design does not direct, supervise, or control the Pro Partner's work, methods, schedule, workers, jobsite safety, or subcontractors
  • If Install & Design observes a concern, its only role is to notify you and the Pro Partner. Correcting the work remains the Pro Partner's responsibility
  • Visits are not code inspections, engineering reviews, or permit inspections, and do not replace inspections by the building department
  • Visits are not a warranty, guarantee, or certification of the Pro Partner's work. Install & Design is not responsible for conditions it did not observe or report
  • Install & Design decides the number and timing of visits, and may choose not to visit
  • Install & Design may use what it observes to keep, suspend, or remove a Pro Partner from the program

Offering, making, or not making a Quality Review Visit does not make Install & Design responsible for the Pro Partner's work.

9Workmanship, Warranties, and Responsibility

Responsibility for workmanship, scheduling, warranties, corrections, and property damage follows the contract that covers the work:

Work typeGoverning contractResponsible party
Section A workYour signed Install & Design Service AgreementInstall & Design
Section B, direct licensed trade (Section 6)Your separate contract with the trade professionalThat trade professional
Pro Partner referral (Schedule 1)Your separate contract with the Pro PartnerThat Pro Partner

Nothing in this disclosure waives or limits any consumer protection, statutory right, or responsibility that Florida law does not allow to be waived.

10Independent Relationship and Limitation of Liability

Install & Design and each Subcontractor, trade professional, and Pro Partner are independent parties. Nothing in this disclosure, the Pro Partner Referral Program, or any Quality Review Visit creates a partnership, joint venture, agency, franchise, or employment relationship between them.

To the fullest extent permitted by Florida law:

  • For referred services and direct licensed trade scopes, Install & Design is not liable for the acts, omissions, workmanship, delays, property damage, injuries, licensing, insurance, or payment obligations of the Pro Partner or trade professional, or of anyone they hire
  • You agree to look solely to the Pro Partner or trade professional, and its insurance, for claims arising from its work
  • Install & Design's total liability arising from any referral or Quality Review Visit is limited to the greater of the fee Install & Design received for that referral or $500
  • Install & Design is not liable for indirect, incidental, or consequential damages, including loss of use or lost profits

This section does not limit any liability that Florida law does not allow to be limited, including liability for Install & Design's own gross negligence or intentional misconduct.

11Sharing Your Project Information

You authorize Install & Design to share your name, phone number, email, property address, and project details with the Subcontractors, trade professionals, and Pro Partners assigned to your project. This information is shared only to quote, schedule, perform, permit, and warranty your work. We do not sell your information.

12Florida Notices and Questions

For residential work over $2,500, your Service Agreement includes the Florida Construction Lien Law notice (Section 713.015, Florida Statutes) and the Florida Homeowners' Construction Recovery Fund notice (Section 489.1425, Florida Statutes). Please read both before signing.

The Recovery Fund covers certain losses caused by licensed contractors only. Confirm that any trade professional or Pro Partner you contract with directly holds a current Florida license. You can verify any license at myfloridalicense.com.

For any question or concern about work on your project, including referred or direct-pay work, contact Install & Design at (941) 299-7634 or info@installanddesign.com. We will help coordinate a resolution.

This disclosure is governed by Florida law. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and all other provisions remain in effect.

13Customer Acknowledgment

By signing, or by checking the acceptance box in the Install & Design online portal, you confirm that you have read this disclosure and understand that:

  • Install & Design may use independent Subcontractors and trade professionals
  • Any direct payment or direct contract will be identified in writing and in Section B of your proposal
  • You authorize the information sharing described in Section 11, and that referred services, Quality Review Visits, and liability limits are governed by Sections 7, 8, and 10

Online acceptance is recorded with your name, date, time, IP address, and quote reference number.
